These Terms of Use (the “Terms”) establish the conditions between ToraPlan Inc. (“ToraPlan Inc.”) and Users regarding the KAKENHI application-support service “ToraPlan.”
Article 1 (Application)
These Terms apply to the ToraPlan web application, related APIs, AI-assisted drafting, processing of reference PDFs, Research Proposal Document templates, organization-management functions, and all other functions provided by ToraPlan (collectively, the “Service”).
If ToraPlan Inc. and a university, research institution, corporation, or other organization enter into an individual agreement, order form, quotation, memorandum, or other agreement (an “Individual Agreement”), the Individual Agreement will prevail over these Terms.
Article 2 (Definitions)
- “Contracting Organization” means a university, research institution, corporation, or other organization that enters into an agreement with ToraPlan Inc. to use the Service.
- “User” means a researcher, research-support staff member, administrator, or other individual who belongs to, or is authorized by, a Contracting Organization and uses the Service.
- “Administrator” means a person authorized by a Contracting Organization to invite organization members, manage permissions, and use other administrative functions.
- “User Data” means research themes, summaries, methods, plans, reference PDFs, generated drafts, account information, and other data entered, uploaded, or stored by a User in the Service.
- “Generated Output” means Research Proposal Document drafts, summaries, suggested citations, and other output produced by the AI-assisted drafting functions of the Service.
Article 3 (Accounts and Organization Management)
- Users must create accounts using accurate and current information and are responsible for safeguarding their authentication credentials.
- Contracting Organizations and Administrators must appropriately manage User invitations, permission grants and changes, suspension of access, and other organization-management activities.
- Users may not lend, transfer, or share their accounts with any third party.
- A User or Contracting Organization that becomes aware of unauthorized account use, leaked credentials, incorrect permission settings, or another security issue must promptly contact ToraPlan Inc.
Article 4 (The Service)
The Service is SaaS that assists with preparing Research Proposal Documents for KAKENHI applications. It supports AI-assisted drafting and the use of Research Proposal Document templates based on the KAKENHI category, review section, research team, research summary, reference PDFs, and other information.
The Service assists with document preparation but does not guarantee selection for KAKENHI or any other grant, successful review, acceptance of a submission, research-ethics approval, legal compliance, or academic validity.
Article 5 (Handling of User Data)
- Users represent that they possess all rights necessary to enter, upload, and store User Data in the Service and to permit ToraPlan Inc. to process it for service delivery, maintenance, incident response, security, and support.
- When handling reference PDFs, Research Proposal Documents, figures, third-party works, personal information, confidential information, or other data, Users must comply with copyright law, data-protection law, research-ethics rules, institutional rules, and all other applicable laws and regulations.
- ToraPlan Inc. handles User Data in accordance with its Privacy Policy and applicable Individual Agreements.
- ToraPlan Inc. will not provide User Data for training a third party’s general-purpose AI model without the prior consent of the User or Contracting Organization.
Article 6 (Review of AI-Generated Output)
- Generated Output may contain inaccuracies, statements that differ from fact, inappropriate citations, incomplete or excessive explanations, or language that does not conform to the submission format.
- Users must not submit Generated Output without review. Users are responsible for final review and revision against their research, prior studies, citations, ethical considerations, applicable law, institutional rules, call documentation, and submission format.
- ToraPlan Inc. does not guarantee the accuracy, completeness, usefulness, fitness for a particular purpose, likelihood of funding, or non-infringement of third-party rights of Generated Output.
Article 7 (Prohibited Conduct)
Users must not engage in any of the following conduct when using the Service:
- Conduct that violates law, research ethics, institutional rules, or public order and morals.
- Conduct that infringes a third party’s copyright, privacy, trade secrets, personal information, or other rights or interests.
- Entering, uploading, or viewing Research Proposal Documents, reference PDFs, personal information, or confidential information without authorization.
- Imposing an excessive load on the Service, an external service, a network, or a server.
- Unauthorized access, misuse of authentication credentials, vulnerability scanning, reverse engineering, or other conduct that harms the security of the Service.
- Interfering with operation, maintenance, support, or another User’s use of the Service.
- Conduct equivalent to the foregoing or reasonably determined by ToraPlan Inc. to be inappropriate.
Article 8 (Fees and Payment)
Fees, payment terms, number of Users, scope of use, contract term, cancellation conditions, and other commercial terms for the Service are governed by the applicable Individual Agreement or other terms presented by ToraPlan Inc.
If a User or Contracting Organization fails to pay an amount by its due date, ToraPlan Inc. may suspend all or part of the Service after providing prior notice.
Article 9 (Intellectual Property)
- Intellectual-property rights in the Service, software, screens, logos, designs, programs, databases, documentation, and other elements of the Service belong to ToraPlan Inc. or their lawful owners.
- Rights in User Data and Generated Output belong to the User or Contracting Organization. ToraPlan Inc. may use them only as necessary to provide and maintain the Service, respond to incidents, maintain security, and provide support.
- Users may use templates, Generated Output, reference information, and other deliverables obtained through the Service only to the extent consistent with applicable law, third-party rights, institutional rules, and Individual Agreements.
Article 10 (External Services)
The Service may integrate with authentication services, cloud storage, generative-AI platforms, email-delivery platforms, and other services or environments provided by third parties.
All or part of the Service may become unavailable because of changes, suspension, failures, changes to terms, account restrictions, or other circumstances involving an external service that are beyond the reasonable control of ToraPlan Inc. Except in cases of willful misconduct or gross negligence by ToraPlan Inc., ToraPlan Inc. is not liable for resulting damage.
Article 11 (Changes, Suspension, and Discontinuation)
- ToraPlan Inc. may change, add, or discontinue Service content for feature improvements, maintenance, security, legal compliance, changes to external services, or other reasonable reasons.
- ToraPlan Inc. may suspend all or part of the Service for scheduled or emergency maintenance, incident response, security needs, natural disasters, communications failures, external-service failures, or other unavoidable circumstances.
- When a material change or extended suspension is expected, ToraPlan Inc. will notify Contracting Organizations or Users before or after the event to a reasonable extent.
Article 12 (Suspension and Termination)
If a User or Contracting Organization violates these Terms, an Individual Agreement, applicable law, or institutional rules, ToraPlan Inc. may, after prior notice, suspend use, suspend an account, restrict data access, terminate the service agreement, or take other necessary measures. ToraPlan Inc. may act without prior notice when urgency is high or notice would be inappropriate.
Article 13 (Security and Confidentiality)
- ToraPlan Inc. will implement reasonable safeguards against leakage, loss, damage, unauthorized access, and other risks to information handled by the Service.
- Users and Contracting Organizations must not disclose or leak confidential information belonging to ToraPlan Inc. or a third party obtained through the Service without legitimate reason.
- Users and Contracting Organizations must comply with their institution’s information-security policies, research-data management policies, personal-information rules, and other internal rules.
Article 14 (Personal Information)
ToraPlan Inc. handles personal information in accordance with its Privacy Policy (Japanese).
Article 15 (Disclaimer of Warranties and Limitation of Liability)
- ToraPlan Inc. does not warrant that the Service will meet a User’s particular purpose, remain continuously available, be free of failures or defects, or produce accurate or complete output.
- Except in cases of willful misconduct or gross negligence by ToraPlan Inc., ToraPlan Inc. is not liable for damage caused by use or inability to use the Service, use of Generated Output, failures of external services, incorrect User Data, incorrect permission settings, or insufficient review by a User or Contracting Organization.
- Where ToraPlan Inc. is liable, that liability is limited to ordinary and direct damage actually incurred and excludes special or indirect damage, lost profits, lost opportunities to obtain research funding, and damage related to selection or rejection, except where such limitation is prohibited by law.
Article 17 (Changes to These Terms)
ToraPlan Inc. may amend these Terms when an amendment is consistent with the general interests of Users, or when it does not conflict with the purpose of the agreement and is reasonable in view of the need for the amendment, the appropriateness of the amended provisions, and other circumstances.
When amending these Terms, ToraPlan Inc. will announce the amended provisions and effective date by posting them on this website or by another appropriate method.
Article 18 (Governing Law and Jurisdiction)
These Terms and the Service are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over disputes between ToraPlan Inc. and a User or Contracting Organization arising from these Terms or the Service.
